Terms of Service

By accessing the Site, creating an account, or purchasing anything from us, you agree to these Terms. If you do not agree, do not use the Services.

Please read Section 13 (Arbitration and Class Action Waiver) carefully. It affects how disputes between us are resolved.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements and that the information you provide is accurate and complete.

If you are using the Services on behalf of a business, you represent that you have authority to bind that business, and "you" includes both you and that business.

2. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

Accounts are personal and non-transferable. Sharing your login with anyone else, including employees, colleagues, business partners, or family, is a material breach of these Terms. We monitor for credential sharing and may suspend or terminate access without refund where we detect it.

Notify us immediately at notify@medspablueprint.ai if you believe your account has been compromised.

3. What you are buying: licence, not ownership

When you purchase a course, workbook, digital download, or membership, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use that material for your own business and educational purposes, for as long as we make it available.

You may: - Access the material for your own use. - Apply the frameworks, templates, and strategies within your own business. - Print or download materials where a download is expressly provided, for your own reference.

You may not: - Copy, reproduce, republish, upload, post, transmit, or distribute the material. - Share, resell, sublicense, rent, lend, or give away access or files. - Teach, coach, or train others using our materials, or incorporate them into your own course, programme, or paid offering. - Remove or alter any copyright, trademark, or proprietary notice. - Use automated tools to scrape, download, or extract content. - Use the material to build a competing product or service. - Upload our material to any file-sharing service, AI training dataset, or public repository.

Access continues while the product remains available and your account is in good standing. We do not guarantee lifetime access; if we retire a product, we will give reasonable notice so you can download available materials.

4. Intellectual property

All content in the Services, including text, video, audio, graphics, workbooks, templates, frameworks, course structure, the MedSpa Blueprint five-tier system, software, and the look and feel of the Site is owned by us or our licensors and is protected by copyright, trademark, and other laws.

"MedSpa Blueprint," "MedSpa Blueprint AI," "Build · Thrive · Balance," and our logos are our trademarks. Nothing in these Terms grants you a right to use them.

5. Your content and feedback

Your content. If you post to our community, submit an assessment, leave a review, or otherwise provide content, you retain ownership. You grant us a worldwide, royalty-free, non-exclusive licence to host, display, reproduce, and distribute that content in connection with operating and promoting the Services. You represent that you have the rights to grant this licence and that your content does not infringe anyone's rights or violate any law.

Feedback. If you send us suggestions or ideas about the Services, we may use them without restriction or compensation.

Community conduct. In any community, comment section, or live session, you agree not to harass, threaten, defame, spam, or post unlawful, misleading, or infringing material. You agree not to solicit our members for your own products or services without our written permission. We may remove content and suspend access at our discretion.

6. Acceptable use

You agree not to:

• Use the Services for any unlawful purpose, or in violation of any applicable law or professional regulation.
• Interfere with or disrupt the Services, servers, or networks.
• Attempt to gain unauthorised access to any part of the Services or another user's account.
• Introduce viruses, malware, or other harmful code.
• Misrepresent your identity or affiliation.
• Use the Services to make false or unsubstantiated claims to third parties.

7. No professional advice

Our Services provide business education. They do not constitute medical, legal, accounting, tax, financial, regulatory, or professional advice, and no professional relationship is created by your use of them.

Licensing requirements, medical director rules, scope of practice, corporate practice of medicine doctrines, and permitted treatments vary significantly by state and by country and change over time. You are solely responsible for determining and complying with the requirements that apply to you. Always consult a qualified attorney, accountant, and licensed medical professional in your own jurisdiction before acting.

8. No guarantee of results

We make no guarantee, representation, or warranty that you will achieve any particular business, financial, or personal result from the Services. Your results depend on factors outside our control, including your effort, skill, capital, market, timing, and regulatory environment. See our Earnings & Results Disclaimer for a full statement.

9. Purchases

All purchases are governed by our Purchase, Payment & Refund Terms, which form part of these Terms. Digital products are sold on an all-sales-final basis. Please read that page before buying.

10. Third-party links and services

The Services link to and may integrate with third-party sites and tools, including our affiliated businesses (Body Studio Skincare, Body Studio Cosmeceuticals, BSC Peptides), scheduling providers, and payment processors. We do not control and are not responsible for third-party content, products, or practices. Your dealings with third parties are solely between you and them.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that content is accurate, complete, or current.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Services, whether based in contract, tort, strict liability, or any other theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Services will not exceed the greater of (a) the total amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

13. Dispute resolution, arbitration, and class action waiver

Please read this section carefully. It affects your legal rights.

Informal resolution first. Before filing any claim, you agree to contact us at notify@medspablueprint.ai and attempt to resolve the dispute informally for at least thirty (30) days.

Binding arbitration. If we cannot resolve a dispute informally, you and we agree that any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. Arbitration will take place in Pinellas County, Florida, or by videoconference at your election. The arbitrator's award may be entered in any court of competent jurisdiction.

Class action waiver. You and we each waive any right to bring or participate in a class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims or preside over any form of representative proceeding.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property rights.

Opt out. You may opt out of this arbitration agreement by sending written notice to notify@medspablueprint.ai within thirty (30) days of first accepting these Terms, stating your name and your intent to opt out. Opting out will not affect any other part of these Terms.

14. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Subject to Section 13, you and we submit to the exclusive jurisdiction of the state and federal courts located in Pinellas County, Florida.

15. Indemnification

You agree to indemnify, defend, and hold harmless Body Studio Wellness LLC, its officers, members, employees, contractors, and affiliates from any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of or relating to: your use of the Services; your breach of these Terms; your violation of any law or third-party right; your content; or any business decision you make in reliance on our educational materials.

16. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including breach of these Terms. Where we terminate for breach — including credential sharing, content piracy, or abusive conduct — no refund will be given.

You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including Sections 4, 5, 11, 12, 13, 14, and 15.

17. Copyright complaints (DMCA)

If you believe content on the Site infringes your copyright, send a notice to our designated agent containing the information required by 17 U.S.C. § 512(c)(3):

We will respond to valid notices and may remove content and terminate repeat infringers.

18. General

Entire agreement. These Terms, together with the Privacy Policy, Purchase Terms, and other policies referenced here, are the entire agreement between us regarding the Services.

Severability. If any provision is found unenforceable, the remainder stays in effect.

No waiver. Our failure to enforce any provision is not a waiver of it.

Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

Changes. We may update these Terms. We will post the revised version with a new effective date and, for material changes, provide additional notice. Continued use after an update means you accept the revised Terms.

Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
